Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kuantia ("Company," "we," "our," or "us") governing your access to and use of our AI-powered CRM platform, website, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Description of Service

Kuantia provides an AI-powered Customer Relationship Management (CRM) platform that enables businesses to:

• Automate customer communications across multiple channels (WhatsApp, email, Telegram, etc.)
• Manage leads and customer relationships
• Utilize AI-powered chatbots and assistants
• Schedule meetings and appointments
• Manage message templates and campaigns
• Integrate with third-party services and platforms

Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

Third-Party Integrations

Our Service allows you to connect and integrate with third-party platforms and services, including but not limited to:

• WhatsApp Business Platform (Meta)
• Facebook and Instagram (Meta)
• Telegram
• Email service providers
• Calendar and scheduling services

When you connect third-party services, you acknowledge and agree that:

• You are responsible for complying with the terms of service and policies of those third-party platforms
• We are not responsible for the availability, accuracy, or content of third-party services
• Your use of third-party services is at your own risk
• We may access and process data from connected services as necessary to provide our Service

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or engage in illegal marketing practices
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest user data without authorization
• Use the Service for any fraudulent or deceptive purposes
• Violate WhatsApp, Facebook, or other platform policies when using integrations
• Send prohibited content through messaging channels (as defined by platform policies)

Payment Terms

Certain features of the Service may require payment of fees. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing and payment information
• Authorize us to charge your payment method on a recurring basis

Billing: Fees are billed in advance on a monthly or annual basis, depending on your subscription plan. All fees are non-refundable unless otherwise stated.

Price Changes: We reserve the right to modify our pricing at any time. We will provide reasonable notice of any price changes before they take effect.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

Intellectual Property

The Service and its original content, features, and functionality are owned by Kuantia and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain ownership of any content you submit, post, or display through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUANTIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill or reputation
• Cost of substitute services

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from use of the Service.

Indemnification

You agree to defend, indemnify, and hold harmless Kuantia, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit through the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Requests by law enforcement or government agencies

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Kuantia operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
